What Is a Direct Business Transaction?

A Direct Business Transaction is a trade that is negotiated and agreed directly between a buyer and a seller, away from Bursa Malaysia's open order book, and then reported into the exchange's Automated Trading System (ATS) for settlement and clearing.

In a normal trade, your buy or sell order goes into the central order book, where it is matched against whatever the market offers at that moment. The price and the counterparty are determined by the live market. The order is, in effect, public.

A DBT works differently. The two sides — and their brokers — agree on the price and quantity before the trade is reported. The order never sits in the public queue waiting to be matched. It is privately arranged, then declared to Bursa so that it is properly recorded, cleared, and settled under exchange rules.

The Two Main Types of DBTBursa Malaysia recognises two main forms of direct business:

• Crossing — a transaction between two clients of two different brokers (Participating Organisations). This is the classic case of two brokers arranging a deal between their respective clients. The buyer is with one firm, the seller is with another, and the two firms cross the trade off-market.
• Married Deal — a transaction where a single broker acts on behalf of both the buying and the selling client. The buyer and seller are both clients of the same firm.
